We are All Inspire Health, Inc., doing business as Inspiren (“Inspiren,” “we,” “us,” “our”). These Terms of Service (these “Terms”) explain the terms by which you may access and use our website (https://inspiren.com), and certain of our online and/or mobile services, software, and documentation provided on or in connection with the products and services (collectively, the “Service”).

By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms and that you understand how we collect and use your information as set forth in our Privacy Notice available at https://www.inspiren.com/terms-privacy. We reserve the right to modify these Terms and will provide notice of these changes as described below.

These Terms apply to all visitors, users, and others who access the Service (“Users”).

Supplemental terms and conditions or documents that may be posted on the Service from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. IMPORTANT NOTICE REGARDING ARBITRATION

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN:

• A mandatory individual arbitration provision in Section 8.2
• A class action and jury trial waiver in Section 8.3

Unless you opt out pursuant to the instructions in Section 8.2, disputes must be resolved exclusively through final and binding arbitration on an individual basis. To the fullest extent permitted by law, you expressly waive your right to seek relief in a court of law or participate in any class or representative action.

1. Our Service

This is a contract between you and Inspiren. You must read and agree to these Terms before using the Service. If you do not agree, you may not use the Service.

You may use the Service only if you can form a binding contract with Inspiren and comply with all applicable laws. Any use of the Service by anyone under 18 years of age is strictly prohibited.

1.2 Limited License

Subject to these Terms, Inspiren grants you a non-exclusive, limited, non-transferable, freely revocable license to use the Service as permitted by its features. Inspiren reserves all rights not expressly granted and may terminate this license at any time.

1.3 User Accounts

Your account (“User Account”) provides access to services and features determined at Inspiren’s discretion.

• You may not use another User’s account without permission.
• You must provide accurate and current information.
• You are responsible for all activity under your account and for safeguarding your password.
• You must notify Inspiren immediately of any unauthorized use.

By providing your email address, you consent to receive service-related notices and other communications. You may opt out of promotional emails, but doing so may limit receipt of service updates.

1.4 Service Rules

You agree not to:

• Copy, distribute, scrape, or disclose any part of the Service
• Use automated systems to access the Service excessively
• Send spam or unsolicited communications
• Interfere with system security or infrastructure
• Upload viruses or malicious code
• Collect personal information without authorization

Inspiren may modify, suspend, or terminate the Service at any time without notice. Upon termination, you remain bound by these Terms.

2. Our Proprietary Rights

All Service content, including software, text, graphics, images, audio, video, trademarks, and intellectual property (“Inspiren Content”), is owned by Inspiren or its licensors.

You may not copy, modify, distribute, or create derivative works without express authorization.

Ideas Submission:
Any feedback or ideas you submit may be used by Inspiren without compensation or obligation.

3. Security

While we take reasonable measures to protect personal information, we cannot guarantee absolute security. You provide information at your own risk.

4. Third-Party Links

The Service may contain links to third-party websites or services. Inspiren is not responsible for their content, policies, or practices. Your use of third-party services is at your own risk.

5. Indemnity

You agree to defend and indemnify Inspiren and its affiliates against all claims, losses, damages, and expenses arising from your use of the Service, violations of these Terms, or applicable laws.

6. No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. INSPREN DISCLAIMS ALL IMPLIED WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. Limitation of Liability

IN NO EVENT SHALL INSPIREN BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES. LIABILITY SHALL NOT EXCEED THE GREATER OF $50 OR AMOUNTS PAID IN THE PRIOR THREE MONTHS.

8. Governing Law, Arbitration, and Class Action Waiver

8.1 Governing Law

These Terms are governed by the laws of the State of Delaware, except as preempted by the Federal Arbitration Act.

8.2 Arbitration Agreement

All disputes must be resolved by binding arbitration administered by the American Arbitration Association (AAA), unless you opt out within 30 days by emailing legal@inspiren.com.

8.3 Class Action and Jury Trial Waiver

All claims must be brought individually. You waive the right to a jury trial or participation in any class or representative action.

9. General

9.1 Assignment

You may not assign these Terms. Inspiren may assign without restriction.

9.2 Notices and Updates

Notifications may be provided by email, website posting, or other reasonable means.

9.3 Entire Agreement

These Terms constitute the entire agreement between you and Inspiren.

9.4 No Waiver

Failure to enforce any provision does not constitute a waiver.
